These Terms of Service ("Terms") govern the contractual relationship between Wede Technology, Lda ("Wede", "we") and the customer subscribing to the Wede platform services ("Customer", "you"). Definitions: - Platform: Wede software infrastructure — API, SDKs, dashboard and associated services - Tenant: Customer organisation with an active account on the Platform - User: Individual with access to the dashboard or SDK on behalf of the Tenant - Device: Physical or virtual equipment where the Wede SDK is installed - device_id: Unique permanent identifier generated by the SDK on first installation - Offline Queue: Local queue of operations generated without connectivity, synced when connection is restored - Payload: Opaque content of events transmitted by the Customer — Wede does not read or interpret payloads - Vertical: Operational domain (e.g. healthcare, banking, logistics)
Wede provides offline-first operational continuity infrastructure. The Platform is middleware — an integration layer via API and SDK — that ensures the continuity of critical workflows regardless of connectivity state. What Wede does: receives and delivers operational events with automatic fallback between channels (Internet, SMS A2P, Voice); runs the team scoring engine by GPS proximity, equipment match and availability; maintains an immutable offline queue on the device that syncs when connectivity is restored; records an immutable audit log of all operations; manages the lifecycle of operational missions. What Wede does not do: Wede does not read, interpret or store the content of event payloads — payloads are opaque by construction. Wede does not validate the physical state of the Tenant's equipment or resources. Wede does not replace the Tenant's own communications systems. Wede does not guarantee the availability of third-party channels. Wede is infrastructure, not an end-user application. Operational responsibility always remains with the Tenant.
All Wede plans are annual. There are no monthly plans. The plan defines the maximum number of events per year, the available operational verticals, and the annual price in the Tenant's country currency. Billing is processed via Stripe. The Customer receives an invoice at the start of each annual period. Payment is due within the deadline stated on the invoice. Usage alerts: the Customer receives automatic email alerts when annual event consumption reaches 70%, 80% and 90% of the plan limit. Upon reaching 100%, the Tenant is automatically suspended until renewal. In the event of non-payment after the due date, Wede reserves the right to suspend access to the service. Data is retained for 30 days after suspension, after which it may be deleted.
The Wede SDK maintains a local queue of operations generated without connectivity. This queue is immutable — data is never deleted from the device until the server confirms receipt. Each queue entry has a monotonically increasing sequence number per device. The server ensures the same operation is never processed twice, even in case of retransmission. When connectivity is restored, the SDK automatically synchronises the queue with the server. Wede guarantees no valid operation is lost during this process. The offline delivery guarantee does not cover hardware failures on the device that prevent reading local storage, operations generated after the Tenant's subscription has expired, or operations that exceed the limits of the active plan.
The Tenant is entirely responsible for the readiness of its operational resources (teams, equipment, vehicles). Wede does not validate or verify the physical state of resources. If a resource is unavailable, it is the Tenant's team's responsibility to update its status in the platform. The Tenant is responsible for the correct configuration of parsers, action catalog, teams and zones. Wede processes data based on the configuration provided. The Tenant is responsible for the security of its API keys, access tokens and user credentials. Wede is not responsible for unauthorised access resulting from compromised credentials. The Tenant is responsible for the content of transmitted payloads. The Tenant must ensure that transmitted data complies with applicable legislation, including the GDPR.
All data is processed on GCP infrastructure in the europe-west1 region (Belgium), within the European Union, in compliance with Article 45 of the GDPR. All communications use TLS 1.2 or above. Credentials are stored with bcrypt. Secrets are managed via GCP Secret Manager. All operations are recorded in an immutable audit log, including user identity, action, NTP timestamp and IP address. This log cannot be modified or deleted, not even by the Wede Global Admin. Each Tenant operates in complete logical isolation. Cross-tenant data access is structurally impossible via the API.
The device_id is generated by the SDK on the first installation on a device and is permanent. It survives application updates, cache clearing and reinstallations when stored in the operating system keychain/keystore. The device_id is associated with the Tenant and the User who registered it. This association is recorded in the audit log. Offline queue data is retained on the device until server confirmation. After successful synchronisation, synced data may be deleted locally by the SDK. On the server, synchronised entries are retained for the retention period defined in the Tenant's plan.
Wede commits to a 99.9% monthly availability objective for the production API, excluding scheduled maintenance windows. In the event of primary channel unavailability (Internet), the Platform automatically activates fallback channels (SMS A2P, Voice) according to the Tenant's configuration and telecommunications operator availability. The availability guarantee does not cover interruptions caused by third-party telecommunications provider failures, scheduled maintenance with 48-hour advance notice, force majeure events, or actions by the Tenant itself.
Under no circumstances shall Wede be liable for indirect, consequential or punitive damages, data loss caused by hardware failure on the Customer's device, service interruptions caused by third parties, or operational decisions made based on Platform data. Wede's maximum aggregate liability to the Customer shall not exceed the amount paid by the Customer in the 12 months preceding the event giving rise to the damage.
The Wede Platform, including the offline scoring engine, dispatch algorithms and operational continuity architecture, is the intellectual property of Wede Technology and is protected by a pending patent application (INPI 120488). Public SDKs (JS, Python, React Native, Swift, Android) are available under an integration licence. The proprietary core of the Platform is not publicly exposed.
Both parties commit to maintaining the confidentiality of all non-public information shared within the scope of this contractual relationship, including operational data, technical configurations and commercial information.
Wede reserves the right to amend these Terms with 30 days' advance email notice. Continued use of the service after that period constitutes acceptance of the new Terms.
These Terms are governed by Portuguese law. In the event of a dispute, the parties submit to the jurisdiction of the courts of Lisbon, expressly waiving any other jurisdiction.
